The Director/ Lead Director for Legal and Corporate Governance will be responsible for ensuring high standards of business operations across various legal norms and to ensure strict adherence to corporate governance. This position reports to Vice President of Legal and Corporate Governance.

WORK LOCATION: CHENNAI INDIA

ROLES AND RESPONSIBILITIES

  • Legal operations
    • Maintain high standards of operational effectiveness across various legal divisions
    • Research, advice, coordinate and execute remediation to issues as and when arise
    • Initiate and implement initiatives for legal and corporate governance function
    • Knowledge and experience in Companies Act, Labor Act, Shops, and Establishment Act, ESI, PF, Maternity Benefit, Gratuity, Employee Compensation, FEMA and RBI Regulations, and Intellectual Property Rights
    • Track any new amendment or changes to the statutory or regulatory requirement relating to employment laws and labor laws and keep the internal team updated
    • Labour and employment Litigation and counseling on behalf of the employer, with emphasis on wage and breach of employment agreements
    • Handle claims of breach of contract, fraud, retaliation, wrongful termination and sexual harassment
    • Litigation support – notices, a file of compliant / plaint and suit, etc
  • Corporate governance operations
    • Develop and execute corporate governance principles across the organization
    • Maintain corporate agreements and documents and propose changes as required
    • Work closely with government bodies, industry bodies, research institutes and other agencies
    • Preparation and review of corporate governance policy
    • Implementation of policies and principles across the organization
    • Contribute to seamless change managemen
  • Strategical partnerships
    • Participate and contribute to strategical partnerships on merger and acquisition and constitutional and governance related matters concerning Access Healthcare and its subsidiaries
    • Draft and amend agreements and contracts as required
    • Advice on contract negotiations and tenders
    • Participate in due diligence and integration process
  • Responsible for contract management
    • Maintenance of key contracts and agreements including but not limited to Master Service Agreements, Purchase Order, Hardware Agreements, Software Agreements, Commercial Agreement, Real Estate agreements, etc.
    • Manage contract compliance process to monitor the contractual requirement and track compliance with the contractual terms agreed to with the Client
  • Management of ethics and compliance
    • Responsible for management and investigation of ethics and code of conduct issues and ensure closure with appropriate action taken
    • Ensure governance and compliance with legislation and industry standards
    • Ensure compliance with legal and corporate policies

QUALIFICATIONS:

  • 12-18 years’ experience in commercial law with exceptional legal experience in corporate/ reputed law firm
  • Graduation in B.L., LLB
  • Corporate Management exposure preferred, but not mandatory. 

FUNCTIONAL SKILLS REQUIRED:

  • In-depth research and ability to interpret written guidelines, agreements, contractual documents and legal notices
  • Ensure the business entities are meeting the country-specific legal filings and corporate governance obligations
  • Analysis and counsel on a range of legal issues related to corporate, employment, ethics and compliance, property, and software licenses
  • Alignment of corporate strategies with the management and US legal representative on global projects
  • Knowledge and experience on a broad range of laws and regulations affecting the operations of an organization
  • Manage and interact with external legal advisories and government authorities
  • Draft, review and negotiate contracts with customer and vendor legal teams
  • Review and recommend changes to employment-related policies and agreements
  • Strong knowledge of the code of conduct, ethics, and policies, regulatory risk management, and compliance practices

  • Represent Access Healthcare in external counsel and other legal bodies
  • Acting on behalf of the company and quick decision making in legal matters and corporate governance
  • Diligent and proactive with business operations and models, contribute legal advice on strategic partnerships, the excellent business judgment in the interest of the organization
  • Strong legal acumen and ability to work both with cross-functions and independent operations
  • Train, orient, develop and monitor the legal and corporate governance team on their duties and responsibilities
  • Strong analytical and problem-solving skills combined with interpersonal and stakeholder management skills
  • Predictive analytics skills to identify risk and challenges and implement corrective actions
  • Ability to deliver high impact amid complexity, ambiguity and competing priorities independently

  • Good eye for details and structured thought process
  • Excellent interpersonal skills / ability to work with all levels of the organization
  • Updates and maintains own expertise and knowledge sharing with colleagues and contribute to a positive work environment
  • Ability to deliver presentations to large groups at internal events (e.g.: town halls, open house or connect programmes) and at external workshops and conferences.
  • Strong organizational and communication skills (both verbal and written) with the ability to interact with and influence leaders at a multitude of levels
  • Strong leadership management skills to lead teams under uncertainty, ambiguity, and constant change, yet able to set priorities and deliver to commitments
